We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice, and without liability to you or any third party.

To access certain features of our Services, you may be required to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities under your account
• Immediately notify us of any unauthorized use of your account

You must be at least 18 years old to create an account. If you are creating an account on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

You agree not to use our Services to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit viruses, malware, or other harmful code
• Attempt to gain unauthorized access to our systems or data
• Interfere with or disrupt our Services
• Use our Services for any illegal or unauthorized purpose
• Impersonate any person or entity
• Collect or harvest information about other users without consent
• Engage in any activity that could damage our reputation

We reserve the right to investigate and take appropriate action against users who violate this Acceptable Use Policy, including suspension or termination of accounts.

Our Intellectual Property

Our Services and all materials therein, including but not limited to software, images, text, graphics, illustrations, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, music, and User Content, are owned by Plato Industries or our licensors and are protected by intellectual property laws.

Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for their intended purpose. This license does not include any right to:

• Sell, resell, or commercially exploit our Services
• Modify, reverse engineer, or create derivative works
• Remove any proprietary notices or labels

User Content

You retain ownership of any content you submit to our Services. However, by submitting content, you grant us a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, and distribute your content as necessary to provide our Services.

While we strive to maintain high availability, we do not guarantee that our Services will be available at all times. Our Services may be subject to:

• Scheduled maintenance and updates
• Unscheduled downtime due to technical issues
• Interruptions due to circumstances beyond our control

We will make reasonable efforts to provide advance notice of scheduled maintenance when possible.

Fees and Payment

Certain Services may require payment of fees. All fees are stated in U.S. dollars and are non-refundable unless otherwise specified. You agree to pay all applicable fees as described in the relevant Service agreement.

Billing

• Fees are billed in advance on a recurring basis for subscription services
• Payment is due immediately upon invoice for one-time services
• Late payments may result in service suspension or termination
• You are responsible for all taxes associated with your use of our Services

Price Changes

We reserve the right to modify our pricing at any time. For subscription services, price changes will take effect at the start of your next billing cycle, with at least 30 days' advance notice.

Your Responsibilities

You are solely responsible for any content, data, or information you submit, upload, or transmit through our Services. You represent and warrant that:

• You own or have the necessary rights to use such content
• Your content does not violate any third-party rights
• Your content complies with applicable laws and regulations

Data Security

While we implement security measures to protect your data, you acknowledge that no method of transmission over the internet is 100% secure. You use our Services at your own risk.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PLATO INDUSTRIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL PLATO INDUSTRIES' TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO PLATO INDUSTRIES IN THE TWELVE (12) MONTHS PRECEDING THE INCIDENT GIVING RISE TO LIABILITY.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

Termination by You

You may terminate your account at any time by following the account closure process in your account settings or by contacting us directly.

Termination by Us

We may suspend or terminate your access to our Services at any time, with or without cause, with or without notice, effective immediately. Grounds for termination include but are not limited to:

• Violation of these Terms
• Non-payment of fees
• Fraudulent or illegal activity
• Abuse of our Services or support team

Effect of Termination

Upon termination, your right to use our Services will cease immediately. We may retain certain information as required by law or for legitimate business purposes.

Informal Resolution

Before initiating any formal legal proceedings, you agree to first contact us to attempt to resolve any dispute informally. Please send a detailed description of your concern to legal@platoindustries.com.

Arbitration

Any dispute that cannot be resolved informally shall be settled by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration will be conducted in Delaware, and judgment on the arbitration award may be entered in any court having jurisdiction.

Class Action Waiver

You agree that any arbitration or legal proceeding shall be limited to the dispute between you and Plato Industries individually. You waive any right to participate in any class action or representative proceeding.

For enterprise customers, additional terms may apply as set forth in separate agreements. In the event of a conflict between these Terms and a separate enterprise agreement, the enterprise agreement shall control with respect to the subject matter covered therein.

Enterprise services may include:

• Custom service level agreements (SLAs)
• Enhanced security and compliance features
• Dedicated support and account management
• Custom integrations and development
